1. Introduction & Agreement

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and RAAIX ("we", "us", "our"), a software provider operating under the laws of England and Wales.

By registering an account, accessing, or using our platform, including DesBu and Raaix Imagine (collectively, the "Services"), you agree to be bound by these Terms. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

2. License Grant & Restrictions

2.1 License: Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.

2.2 Restrictions: You shall not:

  • License, sell, rent, lease, transfer, assign, distribute, or otherwise commercially exploit the Services.
  • Modify, make derivative works of, disassemble, reverse compile, or reverse engineer any part of the Services.
  • Access the Services in order to build a similar or competitive product or service.
  • Use the Services to transmit any viruses, worms, malware, or other harmful code.

3. Account Security & Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use or security breach. RAAIX cannot and will not be liable for any loss or damage arising from your failure to comply with this section.

4. Intellectual Property Rights

4.1 Our IP: The Services, including but not limited to the underlying code, algorithms, design, "look and feel", and RAAIX trademarks, are the exclusive property of RAAIX and its licensors.

4.2 Your Content: You retain all rights, title, and interest in and to the data, files, and designs you upload to the Services ("User Content"). By uploading User Content, you grant us a worldwide, royalty-free license to use, host, store, and display your User Content solely as necessary to provide the Services to you.

5. AI & Data Usage

5.1 AI Processing: Our Services utilize artificial intelligence ("AI") technologies provided by third parties (e.g., OpenAI). You acknowledge that your inputs may be processed by these external models to generate outputs.

5.2 Fair Usage Policy: We monitor API usage to ensure system stability. We reserve the right to throttle or temporarily suspend accounts that generate excessive load or abuse the API limits primarily for scraping or non-human usage patterns.

5.3 No Training on Your Data: RAAIX does not use your private project data to train our foundational AI models for the general public. Your proprietary data remains isolated to your workspace context.

6. DISCLAIMER OF WARRANTIES

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. RAAIX EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IMPORTANT AI DISCLAIMER: ARTIFICIAL INTELLIGENCE IS PROBABILISTIC IN NATURE. WE DO NOT WARRANT THAT OUTPUTS GENERATED BY THE SERVICE (INCLUDING CODE, DESIGNS, ESTIMATES, OR TEXT) WILL BE ACCURATE, COMPLETE, OR ERROR-FREE. YOU ACKKNOWLEDGE THAT YOU MUST INDEPENDENTLY VERIFY ALL OUTPUTS BEFORE RELYING ON THEM FOR PROFESSIONAL, CONSTRUCTION, OR ENGINEERING PURPOSES. USE OF THE SERVICE IS AT YOUR SOLE RISK.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL RAAIX BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF £100 OR THE AMOUNT PAID BY YOU TO RAAIX FOR THE PAST TWELVE MONTHS OF THE SERVICES IN QUESTION.

8. Indemnification

You agree to defend, indemnify, and hold harmless RAAIX and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your infringement of any intellectual property or other rights of any third party.

9. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services or contact support to request data deletion.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in London, England, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.
